1. About These Terms

These Terms of Service ("Terms") govern your use of the Villiers website at villiers.ai and our charter broker services. By using our website or services, you agree to be bound by these Terms.

Please read these Terms carefully alongside our Privacy Policy.

3. Our Role as a Charter Broker

Important: Villiers is a charter broker and agent, not an aircraft operator. We do not hold an Air Operator Certificate (AOC). We arrange carriage by air by connecting you with third-party aircraft operators who hold the relevant AOC and operating licences.

The contract for the actual carriage of passengers and baggage is between you (the Charterer) and the aircraft operator. Their terms and conditions will also apply to your booking.

We are not a contracting carrier or indirect carrier under applicable aviation regulations.

4. Definitions

In these Terms the following words have the following meanings:

  • "Aircraft" means the aircraft as detailed in the Booking Confirmation
  • "Booking Confirmation" means confirmation of the Aircraft Charter issued by Villiers
  • "Charter Price" means the price for the Charter in accordance with the Booking Confirmation
  • "Aircraft Charter" means the carriage by air as detailed in the Booking Confirmation
  • "Charterer" means the person or entity named in the Booking Confirmation
  • "Flight Details" means the details of the Aircraft Charter as specified in the Booking Confirmation
  • "Passenger" means any person who is carried or to be carried in the Aircraft pursuant to the Aircraft Charter
  • "Villiers", "us", or "we" means Villiers Jets Limited, registered company number 08525860, registered office: Hurlingham Studios, London, SW6 3PA, United Kingdom

5. Eligibility and Age Requirements

You must be at least 18 years of age to use our services. If you are under 18, you must have explicit parental or guardian consent to make bookings or enquiries.

6. Booking Process and Acceptance

A binding contract is formed when:

  • You accept our quote and Booking Confirmation
  • You provide all required passenger information and travel documents
  • Payment has been received in full or payment terms have been agreed in writing

By confirming a booking, you explicitly agree to these Terms and to the aircraft operator's terms and conditions.

7. Pricing and Payment

7.1 Pricing Accuracy

Prices quoted are based on information available at the time and are subject to confirmation. Factors such as fuel costs, aircraft availability, airport fees, and regulatory changes may affect final pricing.

7.2 Payment Terms

Unless alternative payment terms have been agreed in writing, full payment of the Charter Price must be received at least 7 days prior to the scheduled departure date.

Payment is processed securely through Stripe. We accept major credit cards (Visa, Mastercard, American Express), bank transfers (BACS/CHAPS/SWIFT), and Bitcoin.

7.3 Currency

All prices are quoted in the currency specified in your quote (typically GBP, USD, or EUR). Exchange rate fluctuations are your responsibility.

7.4 Direct Operator Payments

In some cases, payment may be made directly to the aircraft operator rather than through Villiers Jets Limited. Where this occurs, Villiers Jets Limited is not a party to that financial transaction and assumes no liability for the return of such funds. Your contractual and financial relationship in respect of those payments is exclusively with the operator, and your recourse lies directly with them.

7.5 Additional Charges

The Charter Price is based on the Flight Details specified in your Booking Confirmation. Additional charges may apply for:

  • Changes to routing, departure times, or airports
  • Excess baggage beyond standard allowances
  • De-icing, hangarage, or special handling requirements
  • Catering, special services, or on-board amenities beyond standard provision
  • Repositioning costs if changes are made after aircraft positioning has commenced
  • Waiting time if passengers are not ready for departure at the scheduled time

We will advise you of any additional charges before they are incurred wherever possible.

8. Aircraft Charters

8.1 Aircraft Confirmation

The Aircraft Charter will be operated using the specific aircraft type and registration detailed in your Booking Confirmation, subject to operational and safety requirements.

In exceptional circumstances (technical issues, crew unavailability, or safety concerns), the aircraft operator may substitute an alternative aircraft of the same or higher category. We will notify you immediately of any such changes.

8.2 Flight Times

Flight departure and arrival times are estimates only and are subject to change due to factors including weather, air traffic control restrictions, operational requirements, and airport procedures.

Neither Villiers nor the aircraft operator shall be liable for any loss, damage, or expense arising from delays or changes to flight times.

8.3 Route and Stops

The aircraft operator reserves the right to alter routes and make unscheduled stops for operational, safety, or regulatory reasons. Technical stops for refuelling may be required depending on aircraft range and routing.

9. Cancellations and Refunds

9.1 Cancellation by You

If you cancel the Aircraft Charter, the following cancellation charges will apply:

  • More than 14 days before departure: 25% of Charter Price
  • 7–14 days before departure: 50% of Charter Price
  • 3–7 days before departure: 75% of Charter Price
  • Within 3 days of departure: 100% of Charter Price (no refund)
  • No-show or cancellation after departure time: 100% of Charter Price

Cancellations must be notified in writing by email to support@mail.villiers.ai. Specific cancellation terms will also be provided in your Booking Confirmation and may vary by operator. We strongly recommend purchasing comprehensive travel insurance to cover cancellation costs.

9.2 Cancellation by Operator or Villiers

In the unlikely event that we or the aircraft operator must cancel your charter due to aircraft unavailability or operational issues, we will:

  • Use reasonable efforts to find alternative aircraft of equivalent or higher category, or
  • Facilitate the refund of any payments received by Villiers Jets Limited in connection with the booking

Our liability in such circumstances is limited to the refund of payments made to us. Where payment has been made directly to an aircraft operator rather than to Villiers Jets Limited, any refund obligation rests solely with that operator. Villiers Jets Limited is not liable to refund monies it has not received, and your recourse in such circumstances lies directly with the aircraft operator.

We are not liable for consequential losses arising from cancellations, including accommodation costs, missed connections, lost business opportunities, or other indirect expenses.

10. Passenger Responsibilities

10.1 Travel Documents

The Charterer is responsible for ensuring that all Passengers hold valid passports, visas, and any other documents required for entry to destination and transit countries. We recommend checking government travel advice and entry requirements well in advance of travel.

Neither Villiers nor the aircraft operator shall be liable if Passengers are denied boarding or entry due to invalid or missing documentation.

10.2 Medical Fitness

Passengers must be medically fit to fly. Any medical conditions that may affect flight safety or require special assistance must be disclosed to us at the time of booking.

The aircraft operator reserves the right to request medical clearance certificates for passengers with certain medical conditions.

10.3 Conduct

Passengers must comply with all safety instructions from the flight crew and must not engage in behaviour that:

  • Endangers the aircraft, persons, or property on board
  • Obstructs crew members in their duties
  • Causes discomfort or distress to other passengers or crew
  • Is illegal under UK law or the laws of any country over which the aircraft flies

The aircraft captain has absolute authority over the aircraft and may take any action deemed necessary for safety, including refusing boarding or diverting the flight. No refund will be given if carriage is refused for safety or conduct reasons.

10.4 Special Requirements

Any special requirements (dietary needs, mobility assistance, or other requests) must be disclosed at the time of booking. We will make reasonable efforts to accommodate requests but cannot guarantee availability.

11. Baggage

11.1 Baggage Allowances

Standard baggage allowances are specified in your Booking Confirmation and vary by aircraft type. Excess baggage may incur additional charges and is subject to aircraft weight and balance limitations.

11.2 Prohibited Items

Passengers must not carry prohibited items as specified by UK Civil Aviation Authority regulations and applicable international aviation law. Dangerous goods, weapons, and illegal substances are strictly prohibited.

11.3 Baggage Liability

The aircraft operator's liability for loss, damage, or delay to baggage is governed by the Montreal Convention 1999 or other applicable international conventions. Current limits are approximately £1,131 per passenger unless a higher value is declared and additional charges paid.

We recommend insuring valuable items separately and carrying essential items (medications, valuables, documents) in hand baggage.

12. Liability and Indemnity

12.1 Limitation of Liability

As a charter broker, our liability is limited to the brokerage services we provide directly. We are not liable for:

  • Acts or omissions of aircraft operators or their employees
  • Operator insolvency, financial failure, or refusal to refund payments made directly to the operator
  • Death, injury, or illness of Passengers during flight (operator's liability applies)
  • Delays, cancellations, or diversions caused by weather, air traffic control, or other factors beyond our control
  • Loss or damage to baggage (operator's liability applies)
  • Consequential losses (lost business, missed connections, accommodation costs, etc.)

To the fullest extent permitted by law, our total liability to you shall not exceed the Charter Price paid to us for the specific booking in question.

12.2 Operator Liability

The aircraft operator's liability for death or injury to Passengers and loss or damage to baggage is governed by the Montreal Convention 1999, EU Regulation 2027/97 (as amended), and other applicable international conventions and national laws.

All aircraft operators we work with are required to maintain appropriate insurance covering passenger liability and aircraft operation. Copies of the operator's terms and conditions and insurance certificates are available upon request.

12.3 Charterer's Indemnity

The Charterer shall indemnify and hold harmless Villiers and the aircraft operator against any claims, liabilities, costs, and expenses arising from:

  • Breach of these Terms by the Charterer or any Passenger
  • Damage to the Aircraft caused by Passengers
  • Illegal conduct by Passengers
  • False or misleading information provided by the Charterer

12.4 Travel Insurance

We strongly recommend that you purchase comprehensive travel insurance covering cancellation, medical emergencies, baggage loss, and other travel-related risks.

13. Force Majeure

Neither Villiers nor the aircraft operator shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:

  • Adverse weather conditions or acts of God
  • Air traffic control restrictions or delays
  • Industrial action or strikes
  • War, terrorism, civil unrest, or threat thereof
  • Government restrictions, actions, or regulations
  • Airport closures or operational issues
  • Pandemic, epidemic, or public health emergency
  • Technical failures or cyberattacks beyond reasonable control

In such circumstances, we will use reasonable efforts to arrange alternative flights or provide a refund of amounts received, but we shall not be liable for consequential losses.

14. Intellectual Property

All content on our website (text, graphics, logos, images, software) is owned by or licensed to Villiers Jets Limited and protected by copyright and trademark laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our explicit written permission.

15. Website Use and Restrictions

You agree not to:

  • Use our website for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with the proper functioning of our website
  • Transmit viruses, malware, or malicious code
  • Harvest or collect data from our website using automated means
  • Impersonate any person or entity

16. Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of third-party sites. Use of external sites is at your own risk.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms are governed by the laws of England and Wales.

17.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17.3 Alternative Dispute Resolution

We encourage customers to contact us first to resolve any complaints or disputes informally. If informal resolution is not possible, we are willing to participate in alternative dispute resolution procedures.

18. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation including the UK GDPR and Data Protection Act 2018. Our Privacy Policy forms part of these Terms.

Passenger information will be shared with the aircraft operator, airports, immigration authorities, and other parties as required for the operation of the charter and compliance with legal requirements.

19. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

For existing bookings, the Terms in effect at the time of booking will apply.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any Booking Confirmation provided in writing, constitute the entire agreement between you and Villiers Jets Limited regarding the use of our services and any charter booking.
